Version 1.0
1. Application.
This Schedule applies wherever the CLIENT uses teamified's AI functionality, including AI interviewing, AI screening, candidate scoring and assessments, under any Service Category.
2. Roles.
teamified is the provider of the AI functionality. The CLIENT is the deployer and sole decision-maker. All AI Output is advisory input to a human decision. No AI Output constitutes, and teamified does not make, any employment or engagement decision. The final hiring decision remains solely the CLIENT's responsibility (clause 3.3).
3. Human oversight.
The Self-Serve Platform is designed for human review of AI Output before any employment decision. The CLIENT must not configure or use the Services to make employment decisions solely by automated means without meaningful human review, and must ensure its Authorised Users are appropriately trained to interpret AI Output.
4. Bias audits and jurisdictional compliance.
4.1 The CLIENT is responsible for determining whether, in the jurisdictions in which it recruits, the use of the AI functionality is subject to bias audit, impact assessment, registration, notice or similar obligations (including under NYC Local Law 144, the Colorado Artificial Intelligence Act, and the EU AI Act), and for obtaining, conducting and publishing any required audits or assessments.
4.2 On the CLIENT's written request identifying the specific legal obligation to be discharged, teamified will provide, within a reasonable time: documentation describing the relevant model's purpose, logic, inputs and outputs; data reasonably required to conduct a bias audit; and cooperation with the CLIENT's auditor.
4.3 teamified's obligations under Schedule 6 clause 4.2 are subject to the following:
(a) disclosure is limited to what is reasonably necessary to discharge the specific legal obligation identified in the CLIENT's written request; (b) disclosure will be made only to the CLIENT or to an independent auditor engaged by the CLIENT, provided the recipient has first given teamified a written confidentiality undertaking in a form reasonably acceptable to teamified, and the auditor is not a competitor of teamified; (c) information disclosed may be used only for the audit or assessment purpose identified in the CLIENT's written request, and for no other purpose; and (d) disclosure will be made in a manner that protects teamified's trade secrets and Confidential Information and does not disclose any other client's data.
4.4 Nothing disclosed under this Schedule 6 clause 4 grants the CLIENT, its auditor or any other person any licence, right, title or interest in or to any Platform IP, and no disclosure or statement made under this clause 4 constitutes an admission of any kind by teamified.
5. Candidate notice.
The CLIENT is responsible for providing candidates with any legally required notices and obtaining any required consents regarding the use of AI in its recruitment process. teamified will supply model and process descriptions suitable for inclusion in such notices.
6. Recordkeeping.
teamified will retain, for at least twenty-four (24) months (or such longer period required by applicable law and notified by the CLIENT): AI Output relating to the CLIENT's candidates; the model version and material configuration applicable at the time; and logs sufficient to identify when AI functionality was used in the CLIENT's process. The CLIENT may access these records on request for compliance purposes.
7. Training data rights.
teamified may use Usage Data to operate, maintain and improve the Services and its models. teamified will not use Client Data (including candidate Personal Information) to train models made available to other clients, except in de-identified and aggregated form, unless the CLIENT expressly consents in writing.
8. Governance.
teamified implementing AI governance aligned to ISO/IEC 42001 per paragraph 2 of Schedule 4, including pre-deployment testing, monitoring for material degradation or unfair outcomes, and an escalation process for reported issues. The CLIENT must promptly report suspected errors or unfair outcomes, and teamified will investigate and respond within a reasonable time.
9. Allocation of responsibility.
As between the Parties and subject to Section 11A: teamified is responsible for defects in the AI functionality as delivered (failure to perform materially in accordance with its documentation); the CLIENT is responsible for its configuration choices, thresholds, prompts and criteria it supplies, its employment decisions, and its compliance obligations as deployed under this Schedule.
10. Precedence.
This Schedule prevails over any inconsistent provision per clause 12(p).
